Welcome to SYR Mediaworks Private Limited. By accessing or using our platform, services, website, or by signing up as an affiliate, advertiser, or user, you agree to be bound by the following Terms and Conditions (“Terms”). If you do not agree, please do not use our services.
1. Definitions
- “Company” / “We” / “Us” / “Our” refers to SYR Mediaworks Private Limited.
- “User” refers to any individual or entity using our website or services.
- “Affiliate” means a publisher or partner who promotes campaigns and earns commission.
- “Advertiser” means a client who provides offers/products/services for promotion.
- “Platform” includes our website, dashboard, tracking systems, and tools.
2. Eligibility
- You must be at least 18 years old and legally competent under Indian law to enter into a binding agreement.
- You must provide accurate, true, and complete information during registration.
3. Services Offered
We provide:
- Performance-based marketing services
- Affiliate campaign management
- Tracking solutions (e.g., clicks, leads, installs, sales)
- Payouts to affiliates
- Media buying and digital advertising
We reserve the right to modify, suspend, or terminate any services at our sole discretion.
4. Account Registration & Responsibilities
- Users must maintain confidentiality of login credentials.
- You are responsible for all activities under your account.
- Any misuse, fraudulent behavior, or spamming may lead to suspension or blacklisting.
5. Affiliate Responsibilities
- Affiliates must ensure traffic quality is genuine and free from fraud, bots, or incentivized clicks unless approved.
- Affiliates must not engage in:
- Cookie stuffing
- Auto-redirects
- Brand bidding (unless approved)
- Misleading creatives or claims
- Multiple fake leads or identity theft
Violation will lead to immediate account termination and withholding of payments.
6. Advertiser Responsibilities
- Advertisers must provide valid and lawful offers and creatives.
- All campaigns must comply with Indian advertising laws (ASCI guidelines, etc.).
- Advertisers are liable for payouts as per the agreed rate and model (CPL, CPI, CPS, etc.).
- Fraud claims must be reported within 7 working days with valid proof.
7. Payouts & Payment Terms
- Payouts to affiliates are made on a monthly/NET30/NET60/NET90/weekly basis (as agreed).
- Valid leads/conversions are approved by advertiser/client before payout.
- We reserve the right to hold payments if fraud, duplication, or breach is detected.
- Payment mode: UPI, Bank Transfer, or any other agreed method.
8. Prohibited Uses
You agree not to:
- Use our platform for illegal activities
- Disrupt, hack, or reverse-engineer the platform
- Upload viruses or malicious code
- Post defamatory, obscene, or abusive content
- Copy, clone, or replicate the platform/code/content
9. Intellectual Property
All content, code, logos, design, and trademarks on the platform belong to SYR Mediaworks Private Limited unless otherwise stated.
No part may be copied, reused, or modified without prior written permission.
10. Data Privacy & Security
We respect your data. Please refer to our Privacy Policy to understand how your data is collected, used, stored, and protected.
You agree to comply with data protection regulations and maintain the confidentiality of any data accessed.
11. Termination
We may suspend or terminate your access/account if you:
- Violate any terms
- Engage in fraud or illegal behavior
- Cause harm to the platform or brand
Upon termination, your access will be revoked, and pending payouts (if any) may be withheld based on violation severity.
12. Limitation of Liability
SYR Mediaworks Private Limited shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of profit, data, or business opportunity
- Delay or failure due to external factors (e.g., server downtime, advertiser bankruptcy)
Maximum liability is limited to the amount paid by or due to you in the last 30 days.
13. Indemnity
You agree to indemnify, defend, and hold harmless SYR Mediaworks Private Limited and its directors, employees, and partners from any claims, liabilities, damages, losses, or expenses arising from:
- Your misuse of the platform
- Your breach of any terms
- Your violation of applicable laws
14. Force Majeure
We shall not be liable for any failure or delay in performance due to events beyond our control such as natural disasters, strikes, war, pandemics, internet failure, etc.
15. Amendments
We reserve the right to modify or update these Terms at any time. You will be notified of major changes via email or website banner. Continued use of services after changes constitutes acceptance.
16. Governing Law & Jurisdiction
These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts in [Insert your city, e.g., Mumbai, Delhi, Bangalore], India.
